Corporate Partner Eric Kuhn moderated a panel discussion entitled Same Term – Different Meaning, Traps for the Unwary in Using U.S. Form M&A Documentation in Transactions Carried Out Outside the U.S. The panel, comprising lawyers from Brazil, Spain, The Netherlands and Argentina, discussed the tricky issues that can arise when U.S.-style stock purchase agreements are used to acquire targets outside of the U.S., including the risk that civil law imperatives can frustrate client expectations unless the agreements are carefully crafted.
